Terms of Service
Last updated: January 5, 2026. These terms govern services provided by Bytewillow Logic LLC ("Bytewillow", "we", "us"), an IT solutions provider registered in the Commonwealth of Kentucky.
1. Services
Bytewillow provides information technology services to businesses: Managed IT Care (monthly subscription services including remote monitoring and maintenance, patch management, antivirus/EDR management, helpdesk, and backup status monitoring), Cloud Migration & Management, Network & Infrastructure, Security Hardening, and Data Backup & Recovery. The specific scope, deliverables, and service levels for your engagement are stated in your written proposal or service agreement, which controls if it differs from this page.
2. Managed plans and renewal
Managed plans are monthly agreements that renew monthly until cancelled with 30 days' notice. Managed plans are billed monthly in advance, per user seat. You may cancel at any time with 30 days' written notice. There is no cancellation fee. Service continues through the end of the notice period, and the final invoice is prorated to the cancellation date.
3. Invoices and payment
All payments are collected by business invoice issued by Bytewillow Logic LLC. We accept ACH and card payments, processed by Stripe. We provide services only: no physical goods are shipped, and there are no shipping or handling fees. Invoices are due net 15 from the invoice date. Overdue balances accrue a late charge of 1.5% per month, or the maximum rate permitted by law if lower. Kentucky sales tax is applied where applicable and shown as a separate line on the invoice.
4. Projects
Project work is quoted in a written proposal before any work begins. Projects are billed 50% to start and 50% on acceptance, or by milestone where agreed in the proposal. A proposal is effective once accepted in writing by the client. Acceptance of project deliverables occurs when the client confirms completion, or when the client uses the delivered work in production, whichever comes first. Changes to scope are quoted separately in writing.
5. Cancellation and refunds
Managed service fees already invoiced for the current month are non-refundable, because the service time is scheduled. Prepayments for project work that has not yet started are refundable in full. On cancellation we hand over documentation, export a list of credentials and configurations we managed, and remove our agents and access.
6. Billing disputes
For billing questions or disputes, email billing@bytewillow.com. We respond within 2 business days. Service continues without interruption while a billing dispute is being resolved.
7. Service boundaries and disclaimer
Technology environments carry inherent risk. Bytewillow provides IT services and professional advice; we do not warrant zero incidents, zero downtime, or absolute security, and no service can make a network impossible to compromise. Our commitments are the specific deliverables, response times, and service levels written into your proposal or service agreement. Except as stated there, services are provided "as is".
8. Limitation of liability
To the maximum extent permitted by law, Bytewillow's total liability arising out of an engagement is limited to the fees paid to Bytewillow for that engagement in the three months preceding the event giving rise to the claim. Bytewillow is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data where the client declined the backup or recovery services we proposed in writing.
9. Intellectual property and your data
Your data remains yours. Client data, documents, and configurations existing before or created during an engagement belong to the client. We retain ownership of our pre-existing tools, scripts, templates, and know-how, and grant you a non-exclusive license to use anything we deliver for your internal business purposes.
10. Confidentiality
We treat client information as confidential, access only the systems and accounts needed to deliver the service, and apply the same expectation to any subcontractor we engage. Backup repositories are encrypted, and admin credentials are held in a documented escrow.
11. Governing law
These terms and any engagement are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws rules. Disputes are brought in the state or federal courts located in Kentucky.
